1. Introduction

Welcome to Xpecto® IT Solutions Pvt Ltd (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website located at www.xpectoitsolutions.com (the “Service”), as well as any related services we provide, including website development, design, maintenance, and other services (collectively, “Services”).

2. Services Provided

Scope of Services: We provide website development, design, maintenance, and other related services as agreed upon in our proposals or contracts with you. The scope of services will be defined in the statement of work or contract.

Changes to Services:Any changes to the scope of services must be agreed upon in writing. We reserve the right to charge additional fees for changes that require additional work or resources.

3. Client Responsibilities

Content and Information: You are responsible for providing all necessary content, information, and materials required for us to perform the Services. You represent and warrant that you have all necessary rights to provide such content and information.

Approval and Feedback: You agree to provide timely feedback and approvals during the development process. Delays in providing feedback or approvals may result in delays in project completion.

4. Fees and Payment

Payment Terms: Fees for our Services will be outlined in the statement of work or contract or proposal. Payments are due according to the schedule specified in the contract.

Late Payments: Late payments may result in a delay in the delivery of Services. We reserve the right to charge penalty on overdue payments INR 500 per Day + 18% Tax

5. Intellectual Property

Ownership: Upon full payment, we grant you a license to use the deliverables as specified in the contract. We retain ownership of all intellectual property rights in any materials created prior to or outside the scope of the Services.

License to Use Client Materials: You grant us a non-exclusive, royalty-free license to use, reproduce, and modify any content or materials you provide for the purpose of providing the Services.

6. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during the provision of Services. This obligation continues even after the termination of the contract.

7. Termination

Either party may terminate the contract by providing written notice to the other party. In the event of termination, you will pay for all Services rendered up to the date of termination.

8. Limitation of Liability

Our liability under these Terms shall be limited to the amount paid by you for the Services. We shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services.

9. Warranty Disclaimer

We provide the Services on an “as is” basis without any warranties of any kind, express or implied. We do not warrant that the Services will meet your specific requirements or be available uninterrupted, secure, or error-free.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Noida, India, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Service. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
